Preparing and reviewing partnership and shareholders' agreements in line with the Companies Law and its regulations, including regulating the relationship between partners regarding contributions, powers and decision-making mechanisms, regulating the transfer of shares and quotas and pre-emptive rights, entry and exit arrangements, financing and distributions, mechanisms for addressing decision-making deadlocks and settling disputes between partners, in addition to aligning the articles of association or the constitutional document with the provisions of the agreement.

Preparing and reviewing franchise agreements under the Franchise Law and its implementing regulations, including preparing and reviewing the disclosure document, registering the franchise agreement with the competent authority, and regulating the obligations of the franchisor and franchisee during the term of the agreement, renewal and termination and their consequences, on both sides of granting franchises within the Kingdom and obtaining franchises of foreign brands to operate within it.

Mergers & Acquisitions

Working on M&A transactions in their various stages, from structuring the deal and selecting its legal form, through legal due diligence and preparing its reports, drafting and negotiating sale and purchase or merger agreements, including conditions precedent, warranties, representations and indemnities, obtaining the necessary regulatory approvals, including those relating to economic concentration with the General Authority for Competition, and completing the closing procedures and post-closing merger and harmonisation work.
